I have a LGA 775 motherboard (http://www.gigabyte.com/products/product-page.aspx?pid=2729#sp) with a 9400gt, i was thinking of upgrading it with some new hardware and was thinking about buying a gtx 770. But i'm not sure if the card would work properly with this motherboard.
Also can somebody suggest another graphics card to put with this system.

What are the rest of your specs?
I had a simmilar build too, 9400gt on pcie 2.0 on 4x speed. Low end cards don't get bottlenecked, high bandwidth cards are.
An HD 4850/gtx 260/gtx 460/HD 4870 will still get bottlenecked. It will bottleneck, and any cpu you have on that will be bottlenecking a gtx 770. You're better off with a mid-range card like a hd 7770, nvidia sucks as far as mid range cards go so I wouldn't reccomend them.
The PCI-E 1.1 standard will definatly hit the performance quite a bit due to the bandwidth limitation. I know my friend ben has a GTX 560TI with a core 2 quad q6600 on a PCI-Express 2.0, his cpu was the bottleneck. So I would recommend doing some upgrades
PCI-e 1.1 will bottlekneck a 770, your DDR2 RAM will also hit performance.
Depending on your budget you might want to start thinking of a complete overhaul or atleast trying to get onto DDR3 RAM with PCI-e 2.0 specs. Putting a 770 into that PC just seems like a bit of a waste to be fair.
For the price of a 770 you could do something like this http://pcpartpicker.com/p/1iq1t (you may need a new powersupply too depending on what you have right now but you could still get one within budget)
which would update you to DDR3/PCI-e 2.0 and a 7770 which plays games fine on medium settings, it also allows for future upgrades to crossfire if you wanted (probably with a new PSU) and AM3+ CPU's.
PCI-E 1.1 isn't only thing bottlenecking the GPU, your whole system is a dinosaur
