Side fan and enclosed cpu water cooler

Hi so double question post.

1st off Specifications of my computer. 

Case: Nzxt Phantom 410 series

CPU: AMD FX8320

GPU: Nivida  Geforce  GTX770 (Gigabyte with windforce)

PSU: Corsair TX650W

HDD: Western Digital WD Black 1TB 7200 RPM 64MB Cache SATA 6.0Gb/s 3.5" Internal Hard Drive Bare Drive

MoBo: Asus M5A99FX PRO R2.0

Running Star citizen on very high and at 1980x1080

CPU at 55C (Stock fan runs at 5.5k)

GPU at 66C

Now, I tried using a T40 Respite Aftermarket cooler to solve my CPU fan problem, however, it's too big and blocks the 1st two ram slots which my awesome but fickle MoBo just needs to have one open to register ram. I had planned on OCing my CPU and with my situation leaves me with cooler-watering as the solution. I was thinking of this http://www.newegg.com/Product/Product.aspx?Item=N82E16835103195 seems good and some of the reviews say their getting ridiculous OC (4.5k, but I plan on only going to the recommend limit of 4k) so my question is more of which model? 120M vs 120V vs 120XL? or if you any of you know of some good watercoolers that are in the same price range?)

 

Second question

I have a 120mm side case fan to blow air onto the GPU and PSU which draw from the same area (about 3ins from clearance between the two at the back bottom and middle of the case.) There a 120mm fan in the front bottom of the case pulling air in and two exhausts at the 140mm top back and a 120mm back top blowing air out. Is it a good idea to have this fan? If so which of these alternates (or one of your knowledge base) would be the quietness? Cause the side fan is hella loud being right next to the grate covering and as it pulls air in makes almost vaccum-like noise. (All fans are stock NZXT btw) Also, the side case as screw holes for 120mm and 140mm and I'm assuming that 140mm would have slower RPM and therefore less vacuum noise. Another thought is there anyway to mount the fan a little farther from the grate covering?

Simple answer get the cosair H100i cooler master are only good for cases 

Second answer make sure you have more fans blowing in than out and air ALWAYS travles down if you have a fan blowing in at the bottom this will be your problem and can dammage things inside.
