Hi I am wondering what you think is better 

CM Geminii s524 or 

CM Geminii M4

If you have other suggestions under $40 is prefrable

I have a i5 3570k @ 4.3 on a hyper 212 @ 68c full load but I am giving the 212 to a freind

In my own opinion out of those two, I would go with the CM Geminii s524. 

The only Cooler Master Cpu Cooler I've used in the Hyper N and it has worked out well for me.

Well, I wouldn't really go for either of those coolers, simply because they really aren't as efficient as coolers that are oriented the other way, like the 212. Despite your want to see a pretty fan, you're simply going to achieve better performance with something like a push pull setup.
